I, the undersigned, __________________, hereby consent, to the use of image, voice and likeness (collectively, “Likeness”) including, but not limited to, photographic reproductions thereof, poses and appearances of any nature whatsoever (on Overthrow Homeschool ) and recordings (whether audio or visual) of same by any means provided that such Likeness is limited to my name, voice and likeness as they appear in the “Homeschool” (as defined below) in the promotional film presently entitled Overthrow Promo(“Homeschool”) to Overthrow New York Limited (“Producer”), for commercial purposes, and in the advertising, publicity and promotional materials therefore and for all ancillary exploitation of the Film, by Producer and Producer’s assigns, successors and licensees. This release and grant of rights shall include but not be limited to the right of the Producer to photograph (whether on film, videotape, digitally, stills or otherwise) and record (whether audio or visual) by any means the undersigned and the undersigned’s Likeness on (today’s date)______________ and to use the results and proceeds thereof, including all elements contained therein, for any purpose in the Film, and for all exploitation of the Film in all media, including but not limited to advertising, publicity, or promotional materials for the Film and the production and distribution of the Film. The undersigned acknowledges that the Producer may exploit the Film by incorporating the Likeness of the undersigned in the Film in any and all media, whether now known or hereafter devised, throughout the universe in perpetuity. This grant of rights shall also include the right of the Producer to use the undersigned’s Likeness as part of such Film, in all computer or digital media as well as over the internet. The undersigned agrees that the Producer shall have no obligation to use the Likeness of the undersigned, or any part thereof, in the Film. The undersigned certifies that the undersigned has read and understands this Release and has all necessary authority to sign this Release on behalf of himself/herself and to grant the rights hereby granted to the Producer. This consent and grant of rights is irrevocable and the undersigned acknowledges that the Producer is proceeding in reliance thereon. Producer shall have the right to assign, license or transfer this agreement and/or all or any part of its rights hereunder to any person, firm or corporation without any restrictions whatsoever (except as set forth herein) so long as such assignee, licensee or transferee assumes all of Producer’s obligations hereunder and agrees to be bound by the provisions hereof. This agreement shall be deemed made in the State of New York and shall be construed in accordance with the laws of the State of New York applicable to contracts entirely made and performed therein, without regard to the principles of conflicts of law thereof. This Release contains the full and complete understanding between the parties and supersedes all prior agreements and understandings pertaining hereto and cannot be modified except in a writing signed by both parties.
